Terms of Service

Last updated: October 13, 2026

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "your", "Customer") and ComplyTrackr ("we", "us", "our", "ComplyTrackr") governing your access to and use of the ComplyTrackr website, mobile applications, and all related services, features, and content (collectively, the "Service").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

1. Definitions

1.1 "Account" means the registered user account you create to access the Service.

1.2 "Customer Data" means all data, information, documents, and materials you upload, enter, or otherwise provide through the Service, including business profile information, deadlines, notes, and attached files.

1.3 "Deadline Information" means any dates, reminders, notifications, calendar entries, or compliance-related content generated or displayed by the Service.

2. Description of the Service

2.1 ComplyTrackr is a planning and organizational aid designed to help Canadian small businesses track compliance-related deadlines. The Service generates Deadline Information based on (a) the business profile answers you provide, (b) a set of encoded tax and regulatory rules, and (c) custom deadlines you enter manually.

2.2 The Service is not tax advice, legal advice, accounting advice, financial advice, or professional advice of any kind. Nothing in the Service should be construed as a recommendation, opinion, or professional judgment regarding your tax obligations, filing requirements, or business decisions.

2.3 No professional relationship is created between you and ComplyTrackr by your use of the Service. If you require professional advice, consult a licensed Chartered Professional Accountant (CPA), lawyer, or other qualified professional.

3. Eligibility and Account Registration

3.1 You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Service.

3.2 You agree to provide accurate, current, and complete information during registration and to keep your Account information updated.

3.3 You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify us promptly of any unauthorized access or security breach.

3.4 You may not share your Account credentials with others except through the Service's built-in team invitation features. Each team member must have their own Account.

3.5 The Service is offered only to Canadian businesses with Canadian filing obligations. ComplyTrackr may decline or close accounts for businesses located outside Canada.

4. Your Responsibilities

4.1 Verify all deadlines independently. You are solely responsible for knowing your own filing, remittance, and payment obligations. You must verify every deadline displayed by the Service against official sources — including the Canada Revenue Agency (CRA), Revenu Québec, your provincial or territorial tax authority, workers' compensation board, corporate registry, or other applicable agency — before relying on it.

4.2 Accuracy of inputs. Deadline Information is only as accurate as the business profile answers and custom entries you provide. Incorrect, incomplete, or outdated inputs will produce incorrect deadlines. You are responsible for keeping your business profile current (e.g., after incorporating, hiring employees, registering for new tax accounts, or changing provinces).

4.3 Reminders are a courtesy, not a guarantee. Email reminders, push notifications, and calendar downloads are provided as a convenience. We do not guarantee their delivery, timeliness, or accuracy. Spam filters, device settings, network issues, or technical failures may prevent delivery. You must not rely solely on Service reminders to meet your obligations.

4.4 Compliance with laws. You agree to use the Service in compliance with all applicable federal, provincial, and territorial laws and regulations.

5. Acceptable Use

5.1 You agree not to:

5.2 We may suspend or terminate your Account for violation of this section, with or without notice, at our sole discretion.

6. Fees and Payment

6.1 The Service may offer free and paid tiers. If and when paid plans are introduced, fees, billing terms, and refund policies will be disclosed at the point of purchase and will form part of these Terms.

6.2 You agree to pay all applicable fees and taxes. Failure to pay may result in suspension or termination of your Account.

7. Intellectual Property

7.1 The Service, including its software, design, text, graphics, logos, and the compilation of Deadline Information rules, is owned by ComplyTrackr and protected by Canadian and international intellectual property laws.

7.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes in accordance with these Terms.

7.3 You retain all rights to your Customer Data. By using the Service, you grant us a limited license to store, process, and display your Customer Data solely to operate and improve the Service, as described in our Privacy Policy.

7.4 You represent that you have all necessary rights to upload Customer Data and that such data does not infringe any third party's rights.

8. Third-Party Services

8.1 The Service may integrate with or rely on third-party services (e.g., email delivery providers, push notification services, cloud hosting). We are not responsible for the availability, accuracy, or practices of third-party services.

8.2 Your use of third-party services through the Service may be subject to those third parties' own terms and privacy policies.

9. Disclaimers — Use at Your Own Risk

9.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment.

9.2 We do not warrant that:

9.3 Tax laws and filing requirements change frequently. Deadline rules encoded in the Service may become outdated. We update rules on a best-efforts basis but make no commitment regarding update frequency or completeness.

9.4 You assume all risk arising from your use of, or reliance on, the Service and any Deadline Information.

10. Limitation of Liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPLYTRACKR, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to missed deadlines, late-filing penalties, interest charges, loss of tax benefits, loss of profits, loss of revenue, loss of data, or business interruption — arising from or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages.

10.2 We are not responsible for late filings or missed deadlines resulting from any discontinuation of, interruption in, or unavailability of the Service, whether planned or unplanned. You should complete filings as early as possible and not rely on last-minute access to the Service.

10.3 WITHOUT LIMITING THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY for all claims arising from or related to the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) CAD $100.

10.4 We shall only be liable for direct damages resulting from our own gross negligence or wilful misconduct, to the extent such limitation is permitted by law.

10.5 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10.6 The limitations in this section apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and shall survive termination of these Terms.

10A. Québec Consumers

If you are an individual residing in the Province of Québec and you are not using the Service for business purposes, certain limitations in Sections 9 and 10 may not apply to you to the extent prohibited by the Consumer Protection Act (Québec) or the Civil Code of Québec. In such cases, the sole warranties applicable are those provided by law, and nothing in these Terms limits your statutory rights. All other provisions of these Terms remain in full force.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless ComplyTrackr and its owners, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

12. Term and Termination

12.1 These Terms remain in effect while you hold an Account or use the Service.

12.2 You may terminate your Account at any time via the account settings or by contacting us. Termination takes effect as described in our Privacy Policy regarding data deletion.

12.3 We may suspend or terminate your Account at any time, with or without cause and with or without notice, including for violation of these Terms, non-payment, or extended inactivity.

12.4 Upon termination, your right to use the Service ceases immediately. Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), and 15 (General) survive termination.

13. Changes to the Service and These Terms

13.1 We may modify, suspend, or discontinue any part of the Service at any time without notice or liability.

13.2 We may revise these Terms from time to time. Material changes will be noted by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you must stop using the Service and may delete your Account.

14. Governing Law and Dispute Resolution

14.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

14.2 Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the courts of Ontario, Canada. You consent to the jurisdiction and venue of such courts.

14.3 YOU AND COMPLYTRACKR AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS and not as a class, collective, or representative action, to the maximum extent permitted by law.

15. General Provisions

15.1 Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ComplyTrackr regarding the Service.

15.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

15.3 Waiver. Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.

15.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Notices. We may provide notices via the email associated with your Account or through the Service interface. You may contact us at the address below.

15.6 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
